1. Overview
These Advertising Terms ("Ad Terms") govern your use of Tamu's self-serve advertising platform ("Ad Platform") and Creator Marketplace as an advertiser or brand ("Advertiser"). By creating an ad campaign or placing a Creator Marketplace brief, you agree to these Ad Terms, which form part of your agreement with Tamu Technologies Ltd ("Tamu", "we", "us"). These Ad Terms are incorporated into and subject to the Terms of Service. In the event of a conflict, these Ad Terms prevail with respect to advertising matters.
2. Advertiser Eligibility
To use the Ad Platform or Creator Marketplace, you must:
- Have a verified Tamu business page in good standing. Personal accounts may not run paid campaigns.
- Accept these Ad Terms before placing your first spend or Marketplace brief. Acceptance is recorded at account level and applies to all campaigns you run.
- Ensure that any individual placing campaigns on behalf of a business has authority to legally bind that business.
- Comply with all applicable laws and regulations in your jurisdiction, including consumer protection, advertising standards, and data privacy laws.
3. Payment and Billing
- Prepaid Model: The Ad Platform operates on a prepaid basis. You must load ad credits to your Ad Balance via Stripe before campaigns can go live. Tamu does not offer credit terms.
- Currency: Ad Balance is held in your local currency equivalent where supported, otherwise in USD. Stripe may apply currency conversion fees.
- No Refunds on Spent Funds: Funds that have been consumed by live campaigns (impressions delivered, clicks recorded, or Creator campaign fees disbursed) are non-refundable.
- Refund of Unused Balance: Unused Ad Balance (funds not yet allocated to any campaign) may be refunded to your original payment method upon written request to legal@tamu.social within 60 days of account closure. Refund requests submitted after this window will not be honoured.
- Taxes: Prices shown are exclusive of applicable taxes (VAT, DST, etc.). You are responsible for all taxes arising from your advertising spend. Tamu will include applicable taxes on invoices where required by law.
4. Campaign Standards
All creative submitted through the Ad Platform or Creator Marketplace must comply with the following standards:
- Brand Safety: Creative must comply with Tamu's Brand Safety Policy. Advertisers are responsible for ensuring their creative falls within the "Safe" or approved "Restricted" categories.
- No Deceptive Claims: Advertising must be honest and not mislead consumers about the nature, quality, price, or availability of products or services. Fake testimonials, manipulated before/after images, and unsubstantiated health claims are prohibited.
- Prohibited Categories: See Section 6 for a full list of prohibited ad content.
- Targeting: You may not use Tamu's targeting tools to discriminate on the basis of race, religion, gender, sexual orientation, disability, or other protected characteristics in connection with housing, employment, credit, or other regulated categories.
- Data: You may not use ad creative or landing pages to collect user data in violation of Tamu's Privacy Policy or applicable data protection law.
5. Creator Marketplace Campaigns
When you place a Creator Marketplace brief, the following terms apply in addition to Section 4:
- Escrow: When a Creator accepts your campaign brief, the agreed campaign fee is immediately deducted from your Ad Balance and held in escrow by Tamu. This ensures Creators are paid upon delivery and Advertisers are protected against non-delivery.
- Release of Escrow: Escrowed funds are released to the Creator upon: (a) successful submission of campaign deliverables; and (b) Tamu's moderation team confirming the deliverables pass quality and brand compliance checks. Release typically occurs within 48 hours of submission.
- Platform Fee: Tamu charges a 30% platform fee on the net campaign value. This fee is deducted from the total campaign budget; Creators receive 70% of the net campaign value as set out in the Creator Program Agreement.
- Non-Delivery: If a Creator fails to deliver within the agreed timeframe and does not resubmit within the 24-hour cure period, the escrowed campaign fee will be returned to your Ad Balance, less any applicable processing fees.
- Content Rights: Upon successful campaign completion and full payment, you receive a non-exclusive licence to use the Creator's deliverables for the purposes specified in the campaign brief. Usage rights do not transfer automatically for purposes beyond those stated in the brief.
6. Prohibited Ad Content
The following categories of advertising are strictly prohibited on the Tamu platform and Creator Marketplace:
- Gambling & Betting: Online casinos, sports betting, lottery schemes, or any product that primarily involves wagering money or items of value, unless Tamu has granted explicit written approval for licensed operators in regulated markets.
- Adult Content: Sexually explicit material, adult dating services, escort services, or any content that would be inappropriate for audiences under 18 years of age.
- Crypto Scams & Misleading Financial Products: Unregistered token sales, pyramid or Ponzi schemes, "get-rich-quick" investment offers, or any financial product that misrepresents risk or returns.
- Counterfeit Goods: Products that infringe intellectual property rights, including counterfeit branded goods, pirated software, or unlicensed replicas.
- Political Advertising: Paid advertisements for political parties, candidates, referendums, or political issues, including issue-based advocacy designed to influence public policy.
- Hate Speech & Discrimination: Content that promotes hatred, violence, or discrimination against individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Weapons, illegal drugs, tobacco and e-cigarettes directed at minors, human trafficking, and any other content prohibited by applicable law.
7. Moderation
Tamu reviews all campaigns and creative before they go live and on an ongoing basis while campaigns are active. We reserve the right to:
- Reject any campaign or creative that does not comply with these Ad Terms, the Brand Safety Policy, or applicable law, without liability to the Advertiser.
- Pause or remove any live campaign at any time if new non-compliance issues are identified.
- Suspend or terminate an Advertiser's account for repeated policy violations.
Where a campaign or creative is rejected, we will notify you with the reason for rejection. You may revise and resubmit the creative for review. Rejected campaigns are not charged, and any funds allocated to a rejected campaign will be returned to your Ad Balance.
8. Dispute Resolution
If you believe a Creator has failed to deliver campaign deliverables that meet the agreed brief:
- You must submit a formal dispute through the Tamu campaign dashboard within 7 calendar days of the Creator's scheduled delivery date.
- Disputes submitted after this 7-day window will not be considered, and escrowed funds will be released to the Creator.
- Tamu's Trust & Safety team will review the dispute, including the campaign brief, submitted deliverables, and any supporting evidence from either party.
- Tamu's decision is final and binding. We aim to resolve all disputes within 5 business days of receipt.
- If a dispute is resolved in your favour, the escrowed amount will be returned to your Ad Balance minus any applicable fees.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Tamu provides the Ad Platform and Creator Marketplace on an "as is" and "as available" basis. We make no warranties, express or implied, regarding campaign performance, reach, engagement, or return on investment.
- Tamu is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Ad Platform, including loss of profits, loss of business, or reputational damage.
- Our total aggregate liability to you for any claim arising from these Ad Terms shall not exceed the total ad spend you have paid to Tamu in the 90 days preceding the event giving rise to the claim.
