Creator Terms & Conditions

Please read these terms carefully before applying as a creator on Tamu. By submitting a creator application or using creator features, you agree to be bound by these terms.

1.Definitions

"Creator" means any natural person who has been approved by Tamu to use the Creator features of the platform. "Platform" means the Tamu mobile application, website, and any associated services operated by Tamu Social Ltd. "Coins" means Tamu's in-app virtual reward units as defined in the Coin Policy. "Campaign" means a brand-sponsored content engagement arranged through the Tamu Creator Marketplace.

2.Eligibility

To become a creator on Tamu, you must be at least 18 years of age; be a natural person (not a company, unless applying as a verified business account); have a valid phone number and email address; and successfully complete Tamu's identity verification (KYC) process. Tamu reserves the right to reject any application at its sole discretion without providing a reason.

3.Creator Account

Your creator account is personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials. You must not share, sell, or transfer your creator account to any third party. Tamu may suspend or terminate your creator account if it suspects unauthorised access or account transfer.

4.Identity Verification (KYC)

All creators must complete Tamu's identity verification process, which may include submission of government-issued identification, tax identification documents, a live selfie, and other documents as required. KYC is mandatory before any payout or redemption request can be processed. Tamu uses authorised third-party KYC providers. Your documents are handled pursuant to our Privacy Policy.

5.Content Standards

All content published by creators on Tamu must comply with Tamu's Community Guidelines, Content Policy, and applicable law. You must not publish content that is illegal, defamatory, sexually explicit (unless you operate an age-verified adult content tier, where available), violent, hateful, or misleading. Tamu reserves the right to remove any content that violates its policies and to suspend creators who repeatedly violate content standards.

6.Intellectual Property — Your Content

You retain ownership of the original intellectual property you create and publish on Tamu. By publishing content on Tamu, you grant Tamu a worldwide, royalty-free, non-exclusive, sublicensable licence to display, distribute, promote, and store your content in connection with the operation of the platform and marketing of the platform, for the duration of your account.

7.Creator Marketplace

Tamu operates a Creator Marketplace that allows brands and advertisers to discover creators and arrange content campaigns. Your participation in the Marketplace is voluntary. You may set your own rates within the pricing benchmarks established by Tamu for your tier. All campaigns must be disclosed to your audience as sponsored content, in compliance with applicable advertising standards and law.

8.Campaign Obligations

When you accept a campaign, you are entering a binding obligation to deliver the agreed content on time and in accordance with the campaign brief. Failure to deliver without reasonable notice may result in campaign cancellation, financial penalties, and suspension of your Marketplace eligibility. All campaign deliverables must comply with Tamu's Brand Safety Policy.

9.Revenue Share

Tamu pays creators a share of net campaign revenue. The current revenue share rate is published in the Creator Dashboard and is subject to change with 30 days' notice. "Net campaign revenue" means gross brand spend less: platform fees, payment processing fees, applicable taxes, and reserves for refunds, chargebacks, and fraud. The creator share is calculated after all such deductions. Tamu makes no guarantee of specific earnings.

10.Tamu Coins — Creator Earnings

Creators may accumulate Tamu Coins through fan gifts, campaign participation, and referrals. Coin accumulation, valuation, and redemption are governed by the Tamu Coin Policy, which is incorporated by reference into these Terms. Creators acknowledge that Coins are not cash, cryptocurrency, or securities, and that their redemption is subject to minimum thresholds, KYC approval, fraud review, and applicable law.

11.Referral Programme

Creators who participate in the Tamu Referral Programme agree to the Referral Programme Terms. Referral Coins are Promotional Coins subject to restrictions set out in the Coin Policy. Tamu operates automated fraud detection on referral activities. Fraudulent referral activity will result in forfeiture of all referral coins, account suspension, and may result in legal action.

12.Payout Processing

Payouts are processed via the payout method you select (M-Pesa, Bank Transfer, or PayPal). You are responsible for providing accurate payout details. Tamu is not responsible for failed payouts resulting from incorrect payout information. Payouts are subject to minimum thresholds, KYC verification status, and fraud review. Processing times may vary.

13.Tax Obligations

You are solely responsible for all tax obligations arising from income, rewards, or benefits received through Tamu, including income tax, VAT, withholding tax, and any other applicable taxes in your jurisdiction. Tamu may withhold taxes where required by applicable law. We strongly recommend you seek independent tax advice. Tamu will provide available documentation as required by law but does not provide tax advice.

14.Advertising Disclosures

When publishing sponsored or brand-funded content, you must clearly disclose the commercial nature of the content to your audience in accordance with the laws of Kenya (Competition Authority of Kenya guidelines), the advertising standards of any relevant jurisdiction, and Tamu's Brand Safety Policy. Failure to make required disclosures may result in campaign termination, suspension from the Marketplace, and potential regulatory liability for which Tamu accepts no responsibility.

15.Privacy and Data

Your personal data, including KYC documents and financial information, is processed in accordance with Tamu's Privacy Policy. By using creator features, you consent to the collection, storage, and processing of your data as described in the Privacy Policy, including sharing with authorised KYC providers, payment processors, and fraud detection services.

16.Voice of Tamu Programme

"Voice of Tamu" is a founding creator designation available to the first 1,000 approved creators at Tamu's discretion. Voice of Tamu status carries no guarantee of income, campaign bookings, verification badges, cash rewards, coin value, or future redemption. Benefits associated with the programme may change at any time. Tamu may revoke Voice of Tamu status if a creator violates these Terms or Tamu's policies.

17.Prohibited Conduct

As a creator, you must not: (a) use automated tools, bots, or scripts to manipulate engagement metrics; (b) purchase fake followers, views, or engagement; (c) engage in self-gifting or coordinated coin farming; (d) misrepresent your identity, follower count, or engagement rate; (e) accept campaigns without disclosing conflicts of interest; (f) engage in activity that damages Tamu's brand reputation; or (g) violate any applicable law or regulation.

18.Suspension and Termination

Tamu may suspend or terminate your creator account at any time, with or without cause, with notice where reasonably practicable. Upon termination for cause (including policy violation or fraud), all pending payouts and Coin balances may be forfeited. You may close your creator account at any time by contacting support@tamu.social. Earned but unpaid revenue that has passed fraud review will be processed within 60 days of account closure, subject to minimum threshold requirements.

19.Indemnification

You agree to indemnify, defend, and hold harmless Tamu Social Ltd, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from: (a) your content; (b) your violation of these Terms; (c) your violation of applicable law; or (d) any campaign content you produce.

20.Limitation of Liability

To the maximum extent permitted by applicable law, Tamu's total liability to you for any claim arising out of or related to your use of creator features is limited to the total fees paid to you by Tamu in the 12 months preceding the claim. Tamu is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages.

21.Disclaimer of Warranties

The Tamu platform and all creator features are provided "as is" and "as available" without warranties of any kind, express or implied. Tamu does not warrant that the platform will be error-free, uninterrupted, or free from security vulnerabilities. Tamu does not guarantee any level of earnings, brand campaign bookings, audience reach, or platform availability.

22.Third-Party Platforms

Your participation in the Tamu Creator Marketplace does not affect, and is not endorsed by, any third-party social media platform on which you also publish content. You are responsible for complying with the terms of service of all third-party platforms you use.

23.Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless otherwise required by applicable consumer protection law in your jurisdiction of residence.

24.Dispute Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute with Tamu informally by contacting support@tamu.social with a detailed description of your complaint. Tamu will endeavour to respond within 10 business days. If the dispute is not resolved within 30 days, either party may pursue formal resolution.

25.Entire Agreement

These Creator Terms, together with the Tamu Terms of Service, Privacy Policy, Coin Policy, Brand Safety Policy, Community Guidelines, and any campaign-specific agreements, constitute the entire agreement between you and Tamu regarding your use of creator features.

26.Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

27.Waiver

Tamu's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

28.Assignment

You may not assign or transfer your rights under these Terms without Tamu's prior written consent. Tamu may assign these Terms to a successor entity in the event of a merger, acquisition, or sale of assets.

29.Amendments

Tamu reserves the right to amend these Terms at any time. Material amendments will be communicated via in-app notification or email with at least 14 days' notice where practicable. Your continued use of creator features after the effective date constitutes acceptance of the amended Terms.
